Cross-border governance
Hong Kong cross-border governance for families, founders, and operating groups.
AGATE builds cross-border governance files for owners whose family, partners, banks, companies, and advisors do not sit in one legal system.
Who decides, who benefits, who can block, who can sell, and what happens when the founder is unavailable?
The legal documents say one thing, while practical control depends on personal relationships.
Map who can instruct, appoint, remove, vote, distribute, finance, sell, or veto.
Why AGATE instead of a generic provider
The buyer question is the review file.
Will this trust or holding structure protect control when the bank, trustee, heirs, counsel, or buyer tests the asset map?
Global administrators, incorporation agents, and trust companies lead with scale, offices, formation speed, awards, or all-in service menus.
AGATE starts before the deed: asset map, source-of-wealth file, trustee and protector roles, founder powers, bank narrative, and the refusal line.
The page is useful when a bank, trustee, counsel team, heir, buyer, counterparty, or regulator will need the same facts in writing.
No anonymous nominee work, no false substance, no bank misrepresentation, and no claim of universal asset protection.
Structural question
Who decides, who benefits, who can block, who can sell, and what happens when the founder is unavailable?
The legal documents say one thing, while practical control depends on personal relationships.
Children, spouses, managers, and advisors hold different assumptions about future authority.
The bank needs a control record that survives incapacity, disputes, and changed residence.
A buyer or lender asks for authority, consent, and ownership clarity before the family is ready.
File sequence
Governance file: what must line up.
Governance file
Founder, spouse, heirs, partners, directors, managers, trustees, protectors, advisors.
Reserved matters, voting, appointment rights, sale approvals, deadlock routes.
Family governance, company documents, trust documents, banking file, advisor notes.
What AGATE builds
The record must survive the pressure.
Map who can instruct, appoint, remove, vote, distribute, finance, sell, or veto.
Document deadlock, succession, incapacity, exit, and family conflict mechanics.
Make company, trust, shareholder, family, and bank records tell the same story.
Do not solve governance by hiding beneficial ownership or weakening the bank file.
Questions principals ask
Short questions. Document-led answers.
What is cross-border governance?
It is the documented control system for owners, families, companies, banks, and advisors operating across more than one legal system.
Hong Kong's common-law framework, the Trustee Ordinance (Cap. 29), and the Recognition of Trusts Ordinance (Cap. 76) give the governance file a recognisable home; the work is making sure that the company, trust, family, and banking records all tell the same story when tested.
When is governance urgent?
It is urgent before succession, financing, sale, relocation, family conflict, or bank review exposes the missing control record. A founder's incapacity or a partner's death is too late to discover that the governance record depends on memory.
What does AGATE document?
AGATE documents authority, decision rights, succession logic, dispute paths, banking narrative, and advisor coordination. The output is a single record that a bank, a buyer, a trustee, a court, or a successor can use without needing the founder present.

Private review
From question to written scope.
If the control record depends on personal relationships, informal authority, or documents untouched since signing, the next trigger event will expose that. Describe the structure, the principals, and the governance gap in a private enquiry.
